Over the years the Firm has provided various services to its clients and some of the assignments are listed below:
Advice
to several clients on the choice of the appropriate vehicles for
conducting their business in Nigeria, such as partnerships, companies
limited by shares or guarantees and incorporated trustees, in the light
of their business needs and the legal, regulatory and tax issues
involved, and assistance with the registration or incorporation of the
chosen vehicle with the appropriate regulatory agencies in Nigeria.
Providing
legal advice to foreign investors on the most appropriate structure to
conduct business in Nigeria. In this connection we have provided such
advice to several clients in the Oil and Gas sector on drafting of
their Joint venture, sub-contract and technical service Agreements.
We
provided legal advice to one of the World's largest advertising
companies on the appropriate business structure in Nigeria and were
responsible for obtaining all its business licenses and permits for its
operations in Nigeria.
We have and continue to
provide litigation and arbitration services to the state owned
telecommunications company NITEL. We have defended and prosecuted
several cases on its behalf and are presently defending it in a N100
million suit instituted by one of its vendors.
We
have conducted legal due diligence services for companies and in
particular the largest mobile telephone company in Nigeria in its bid
to acquire another telecommunications company
We
have and continue to provide company secretarial services to several
companies and have acted in that capacity for the Internet Service
Providers Association of Nigeria. We were also responsible for drafting
its constitution and incorporation of the Association.
We
have advised one of the largest Nigerian publicly quoted pharmaceutical
companies on Intellectual property issues involving pharmaceutical
brands and have been involved in its Intellectual property compliance
and enforcement.
We have advised one of the
leading companies in offshore pipelay and pipebury business on its
registration with oil and gas regulatory industries and oil majors and
assisted in preparation of bid documents leading to the award of a $50
million contract from a leading Oil major. We have advised a
leading U.K based Courier and freight Company on its registration with
the Federal Airport Authority of Nigeria (FAAN) for purposes of
establishing a fully automated clearing and forwarding shed. This
assignment involved attending meetings with FAAN officials, supervising
preparation of project bid documents to be submitted to FAAN and follow
up until final approval by FAAN.
We
have acted as Consultants to the Nigerian Information Technology
Development Agency (NITDA) in the establishment of the Nigerian domain
name .ng. As consultant we attended meetings and prepared working
papers for the design of an appropriate body to manage Nigeria's domain
name. We also handled the registration of the Nigerian Internet
Regulatory Agency (NIRA)
We have provided
advice to one of the leading core analysis company in the United States
of America on its options for investing in Nigeria.
We
have conducted special Audit investigations for one of the leading
Nigerian private telecommunications operator to unravel allegations of
malfeasance in its operations. In handling this assignment we were
responsible for review of all corporate and financial documents of the
company and issuance of a report for consideration by the Board of
Directors.
We are retained as solicitors to the
second largest mobile telecommunications operator and are engaged in
litigation service on their behalf.
We are retained as solicitors and provide legal and regulatory services to one of the largest Insurance Companies in Nigeria.
